Terms of Service
Effective date: 6 September 2026 · Version 1.0
In plain words. AlgoHand is a tool that operates your trading robots on your VPS on your instruction. It does not trade for you, does not give investment advice, is not a broker and is not affiliated with MetaQuotes. Trading is risky and the decisions, the robots, the broker and the outcomes are yours. We limit our liability as far as the law allows; nothing in these Terms takes away rights that the law grants you as a consumer.
1. Who we are and what these Terms cover
AlgoHand (the "Service") is provided by MTCodec JSC, a joint-stock company registered in Georgia ("MTCodec", "we", "us"). These Terms of Service ("Terms") govern your access to and use of the Service, including the website algohand.com, the chat at chat.algohand.com, the application programming interface (API), the software agent and manager installed on your server (the "Agent"), and any related documentation.
By creating an account, entering an access code, installing the Agent, calling the API or otherwise using the Service, you agree to these Terms and to our Privacy Policy and Risk Disclosure, which form part of these Terms. If you use the Service on behalf of a company, you confirm that you have authority to bind that company, and "you" means the company.
Business customers (brokers, platforms, VPS providers and other companies integrating the API) may also have a separate written agreement with us. Where such an agreement conflicts with these Terms, the written agreement prevails.
2. The Service
The Service lets you operate MetaTrader 5 Expert Advisors ("EAs") that run in terminals on a Windows server you control (your "VPS"): start and stop an EA, apply a risk preset, change EA parameters within permitted ranges, restart an EA, and view information about your terminals, accounts, positions, orders, trade history and performance. Instructions may be given through a chat assistant, a partner's application or the API.
The Service does not:
- place, modify or close trades, orders or positions itself; it operates the robots you choose, and those robots trade according to their own logic;
- provide investment, financial, tax or legal advice, portfolio management, signals or recommendations; any figures, charts or comments about performance are information about your own account, not advice;
- act as a broker, dealer, exchange, custodian or payment institution; your trading account, funds and execution are with your broker;
- guarantee any trading result, profit, avoided loss, or the behaviour of any EA, broker or trading platform;
- hold or require your trading or investor passwords; the Agent works with terminals that are already logged in on your VPS.
MetaTrader and MetaQuotes are trademarks of MetaQuotes Ltd. MTCodec is not affiliated with, endorsed by or sponsored by MetaQuotes, any broker or any EA vendor.
3. Eligibility and accounts
You must be at least 18 years old and legally able to enter into a contract. You must not use the Service where such use is prohibited by law, including sanctions laws. You are responsible for keeping access codes, API keys, enrolment tokens and account credentials confidential and for everything done with them. Tell us at once at security@algohand.com if you believe they have been compromised. We may refuse, limit or revoke access at our discretion, in particular to protect the Service or other customers.
4. Your responsibilities
You are solely responsible for:
- Your trading. Every decision to run, stop or change a robot, and every outcome of that decision. The Service executes your instructions; it does not decide for you.
- Confirming changes. The Service shows a "dry run" before a change is applied. You must read it and confirm only what you intend. A confirmed change is your instruction, even if it was proposed by the assistant in response to your message.
- Your robots, licences and platform. Having the legal right to use every EA, the MetaTrader software and your VPS; complying with the terms of EA vendors, MetaQuotes, your VPS provider and your broker; keeping terminals logged in and licences valid.
- Your broker relationship. Account rules, leverage, margin, execution, fees, regulatory status and suitability of trading for you are between you and your broker.
- Monitoring. Checking your account and robots regularly. The Service reports state and events, but it does not watch your positions on your behalf and does not intervene in trades.
- Your VPS. Its security, updates, connectivity, capacity and backups; the correctness of what you install on it; and any changes you or others make on it outside the Service (for example over remote desktop).
- Lawful use. Using the Service only for your own accounts or accounts you are authorised to manage, in compliance with applicable law, and not attempting to gain unauthorised access, overload, reverse-engineer or resell the Service.
5. Risk disclosure and no advice
Trading foreign exchange, CFDs, futures, cryptocurrencies and other leveraged instruments carries a high level of risk and can result in the loss of all of your capital and, with some brokers, more than your deposit. Automated trading adds further risks: software errors in EAs, unexpected market conditions, connectivity or server failures, broker execution issues, terminal or VPS restarts, and changes to parameters or presets. Past performance of any EA, preset or setting is no indication of future results. Read the full Risk Disclosure. Nothing provided through the Service is a recommendation to trade or a statement that any trading strategy, EA or setting is suitable for you. If you are unsure, consult an independent licensed adviser.
6. Automated actions and AI output
Parts of the Service use large language models ("AI") to understand your messages, look up robots and settings, propose actions and summarise information. AI output can be wrong, incomplete or misleading. It is provided for your review, not as a decision. You agree that:
- the assistant does not apply any change without your explicit confirmation of a dry run, and a confirmation is your own instruction;
- you will check every proposed change (which robot, which setting, what values, whether the robot restarts, what positions are open) before confirming;
- summaries of performance, positions and account state are generated from data reported by your terminals and may be delayed, incomplete or inaccurate; the terminal and your broker's records prevail;
- the Agent may restart terminals, re-attach the manager component and re-apply robot settings automatically to keep the Service working (for example after a VPS reboot or when a terminal stops responding), as described in the documentation; you accept these automated maintenance actions;
- a change refused by the Service (for example because a robot with open positions has not been verified for a safe restart) is a safety feature, not a malfunction, and you may still make the change yourself directly on the terminal at your own risk.
7. Availability and changes
We aim to keep the Service available and reliable, but we do not promise uninterrupted or error-free operation. The Service depends on things outside our control: your VPS and its provider, your internet and the broker's servers, MetaQuotes software and its updates, EA vendors' licence servers, AI model providers and other third parties. We may perform maintenance, restart components, change features, limits and pricing, and may withdraw features or the Service as a whole with reasonable notice. Early-access, beta, sandbox and demo features are provided for evaluation and may change or stop at any time.
8. Fees, billing and refunds
Some parts of the Service are paid. Prices, plans and billing periods are shown at the point of purchase or in your agreement with us. Unless stated otherwise, subscriptions renew automatically until cancelled and fees are non-refundable, except where the law gives you a right to a refund or where we state otherwise. Payments may be processed by a payment provider acting as merchant of record, whose terms also apply to the transaction. Taxes may be added where required. If a fee is not paid when due, we may suspend the Service after notice. Free trials, demo access and early-access pricing may be limited in time and scope.
9. Intellectual property and licence
The Service, including the Agent, the manager component, the API, the website, documentation, EA catalogue data, presets, restart-safety knowledge and all related intellectual property, belongs to MTCodec or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable licence to install the Agent on your own VPS and to use the Service for its intended purpose during your subscription or authorised access. You must not copy, modify, distribute, sell, rent, sublicense, reverse-engineer or decompile the Service or attempt to extract its source code, except to the extent the law expressly allows despite this restriction. Your EAs, trading data and messages remain yours; you grant us the rights needed to operate the Service, as described in the Privacy Policy. We may use feedback you give us without obligation. EA descriptions and parameter notes provided by EA authors remain the authors' property and are shown under their responsibility.
10. Third-party software and services
MetaTrader, EAs, brokers, VPS providers, AI model providers and payment providers are third parties with their own terms, prices and policies. We do not control them and are not responsible for their availability, accuracy, performance, licensing or actions, including a broker's execution or an EA's trading logic. Listing an EA in the catalogue is not an endorsement, recommendation or warranty of that EA.
11. Data and privacy
Our Privacy Policy explains what data the Service processes, why, and your rights. The Agent transmits technical and account-state information from your terminals (such as account number, balance, equity, positions, orders, trade history and the robots running) to our servers so that the Service can work. It does not transmit or store your trading or investor passwords.
12. Disclaimer of warranties
To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement and uninterrupted or error-free operation. We do not warrant that the Service will meet your requirements, that any robot will behave as expected, or that any trading outcome will be achieved. Some jurisdictions do not allow the exclusion of certain warranties; in that case the exclusions apply to the extent permitted.
13. Limitation of liability
To the maximum extent permitted by applicable law:
- MTCodec, its officers, employees, contractors and licensors are not liable for any trading losses, lost profits, lost revenue, lost data, loss of business or goodwill, or any indirect, incidental, special, consequential, exemplary or punitive damages, arising out of or related to the Service, EAs, brokers, VPS, AI output, delays, interruptions, unauthorised access or your reliance on any information, however caused and under any theory of liability, even if we were advised of the possibility of such damages;
- our total aggregate liability for all claims relating to the Service in any twelve-month period is limited to the fees you paid us for the Service in that period or, if you paid no fees, to one hundred euros (EUR 100);
- these limitations do not exclude or limit liability that cannot be excluded or limited by law, such as liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for intentional misconduct or gross negligence where the law so provides, or statutory rights of consumers that cannot be waived.
You acknowledge that these limitations are an essential basis of the bargain and that the Service would not be provided on these terms without them.
14. Indemnity
You will defend, indemnify and hold harmless MTCodec and its officers, employees and contractors from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to your use of the Service in breach of these Terms or applicable law, your trading, your robots, your VPS, your broker relationship, or a claim that your content or instructions infringed the rights of a third party. This clause applies to consumers only to the extent permitted by the consumer law of your country of residence.
15. Suspension and termination
You may stop using the Service at any time and uninstall the Agent; cancellation of a paid plan takes effect at the end of the paid period unless the law provides otherwise. We may suspend or terminate your access with immediate effect if you breach these Terms, if required by law, if your use creates risk for the Service or others, or if fees are unpaid after notice; otherwise we will give reasonable notice. On termination we may decommission your Agent (it stops communicating with our servers), revoke keys and codes, and delete or anonymise your data in accordance with the Privacy Policy. Sections that by their nature should survive (including 5, 6, 9, 12, 13, 14, 16 and 17) survive termination.
16. Governing law and disputes
These Terms are governed by the laws of Georgia, without regard to conflict-of-law rules. Disputes will be brought before the competent courts of Tbilisi, Georgia. If you are a consumer resident in the European Union, the European Economic Area, the United Kingdom or another jurisdiction whose mandatory consumer-protection rules apply to you, nothing in this section deprives you of the protection of those rules, and you may bring proceedings in the courts of your country of residence. EU consumers may also use the European Commission's online dispute resolution platform. Before starting any proceedings, please contact us; most issues can be solved quickly by e-mail.
17. General
- Changes to these Terms. We may update these Terms. For material changes we will give at least 14 days' notice by e-mail or on the website; continued use after the effective date means acceptance. If you do not agree, stop using the Service before the change takes effect.
- Entire agreement. These Terms, the Privacy Policy, the Risk Disclosure and any written agreement with us are the entire agreement between you and MTCodec about the Service.
- Severability. If a provision is found unenforceable, the rest remains in force and the provision is applied to the maximum extent permitted.
- No waiver. Our not enforcing a provision is not a waiver of it.
- Assignment. You may not transfer these Terms without our consent; we may transfer them to a successor of our business with notice.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, including outages of third-party providers, internet failures, acts of government, war, strikes or natural disasters.
- Language. These Terms are written in English. Translations are for convenience; the English version prevails.
- Notices. We may notify you by e-mail to the address on your account or by notice on the website. Notices to us go to the address below.
